Articles of the
MID-VALLEY VOLUNTEER MANAGERS’ ASSOCIATION
I
NAME
The name of this association is the Mid-Valley Volunteer Managers’ Association (MVVMA), referred to in these articles as “the Association.”
II
PURPOSE
The purpose of the Association is: 1) to promote the professional role of the volunteer manager, and 2) to encourage and enhance the active participation of volunteers in the community.
III
OBJECTIVES
The objectives of the Association are as follows:
A. To promote the dissemination of accurate, current information on available volunteer services, opportunities and needs in the community.
B. To aid in the coordination of programs and resources for the Mid-Valley area.
C. To provide information on available training events for volunteer managers and/or volunteers.
D. To provide a support network and training for volunteer managers.
E. To provide an open forum for volunteer managers to discuss issues pertinent to the profession.
IV
MEMBERSHIP
Membership in the Association is open to any individual and private or governmental agency interested in enhancing volunteer services. Any individual or agency wanting to become a member shall fill out an application form provided by the Association.
Active membership in the Association shall be dependent on prompt payment of such dues as are assessed annually by the Association membership.
The membership shall meet at least monthly, except for one month in the summer as decided by the membership. However, a membership meeting can be called at any time upon reasonable notice (10 days) by the President of the Association or any five (5) members of the Association.
The association may not act except by majority vote of quorum of members present. As quorum shall consist of a majority of the active members present at any regular meeting.

ELECTIONS and OFFICERS
A. Eligibility
Only a currently active member in good standing shall be eligible to hold and elected office.
B. Officers
The officers of this organization shall be: 1) President; 2) Vice-President; 3) Secretary; and 4) Treasurer. All shall serve as members of the executive committee.
C. Elections and Terms
1) All officers shall serve for a term of one (1) year from January 1 – December 31.
2) Election of officers shall take place at the December meeting through secret ballot cast by each regular member present.
3) Nominations for all officers will be made at the November meeting.
4) The unexpired term of an elected officer shall be filled by a special membership vote at the next meeting after the office becomes vacant.
D. Duties
1) The President
a) Shall be the chief officer of the organization.
b) Shall preside over the meetings.
c) Shall call executive committee meetings
d) Shall appoint committees.
e) Shall be an ex-officio member of all committees.
f) Shall serve as the official representative of the organization whenever necessary.
g) Shall serve as chair of the Public Relations Committee.
2) The Vice-President
a) Shall carry out the duties of the President when necessary
b) Shall serve as Chair of the Program Committee.
c) Shall serve as Chair of the Scholarship Committee
3) The Secretary
a) Shall prepare minutes for all meetings, including names of those present.
b) Shall carry on such correspondence as deemed necessary by the President.
c) Shall mail the minutes of the last meeting and agenda of the next meeting to all members in a timely manner.
d) Shall keep an accurate record of membership applications, approvals, active and inactive membership status.
e) Shall serve as the Chair of the Membership Committee.
4) The Treasurer
a) Shall collect and record the payment of dues.
b) Shall confirm the voting privileges of members present at all regular and annual meetings.
c) Shall maintain a complete record of all receipts and expenditures, which will be reviewed annually by an appointed committee.
d) Shall, in conjunction with the incoming and outgoing officers, prepare a budget to be submitted for approval at the second regular meeting of the year.
e) Shall preside over the meetings in the absence of the President or Vice-President.
f) Shall serve as chair of the Nominating Committee.
VI
Finances and Budget
A. The Association’s accounting year will be the calendar year.
B. The Executive Committee submits a proposed budget prepared by the Treasurer to the membership at the January meeting.
C. The final budget is approved by the membership at the February meeting.
D. The Association’s finances will be audited annually in January or anytime a new person is approved as Treasurer.
E. No member of the association may incur financial obligations for the association without the consent of the Executive Committee. Committee chairperson must present a budget for an project to be review by the executive committee

DUES
A. The annual membership dues for the Association for the calendar year shall be set by the voting members in September and become effective in January.
B. The Membership Renewal Invoices will be distributed to existing members by November 15.
VIII
COMMITTEES
Only a currently active member in good standing shall be eligible for standing and other committee positions.
A. Appointed Committees are to appoint at the discretion of the President based on need.
B. Standing Committees:
1. The Nominating Committee shall:
a) Propose a slate of candidates for elected offices.
b) Conduct a general election at the annual meeting.
2. The Public Relations Committee shall be responsible for publicizing the activities of the Association.
3. The Program Committee shall be responsible for the monthly meeting programs and in-services.
4. The Membership Committee shall be responsible for recruiting and placing new members.
5. The Scholarship Committee shall be responsible for awarding scholarships for access to professional development for members.
IX
Scholarships
A. Professional development scholarships are available to members to assist with tuition or registration costs of trainings or conferences.
B. Only members in good standing who have held membership in the Association for more than one year are eligible to receive scholarships.
C. Scholarships may be requested for up to 75 percent of the tuition or registration cost.
D. Members who receive a scholarship must share information learned with the MVVMA membership in either written or oral presentation form within one year of completion.
E. The Vice-President and two members will serve as the Scholarship Committee and will meet as needed to process requests.
F. Members may receive only one scholarship per membership year.

AMENDMENTS
A. Written notice of the intent to amend these bylaws shall be mailed, together with a copy of the proposed amendment(s), to each regular member at least one month prior to the date of the meeting at which such amendments shall be submitted for consideration. Such amendments may be submitted for consideration at any regular, special or annual meeting of the Association.
B. The amendment(s) shall be approved by a majority vote of the regular membership present before taking effect.
